Core commercial model
Your partner account may manage multiple independently named and owned locations. The location completing a referral is the device buyer and pays the seller directly. GizmoGrind provides the referral and verification workflow. After a verified referral is completed, GizmoGrind charges the partner account's single saved payment method one platform fee within the 5% to 9% range. The account owner handles any private settlement or distribution with managed locations outside GizmoGrind.
1. Agreement, authority, and eligibility
These Partner Router Terms govern the partner account and every managed location's use of the partner portal and supplement the general terms and Privacy Policy. By accepting, you confirm that you have authority to bind the partner account, add each managed location, and authorize staff to act through it. You are responsible for confirming that each location is legally permitted, properly registered, and appropriately licensed to purchase and resell the device categories it selects. A separate GizmoGrind agreement is not required when another location is added to the same account.
2. Independent roles
The managed location completing the referral purchases each accepted device as principal directly from the seller. GizmoGrind is a referral and workflow provider; it is not the buyer, seller, merchant of record for the device sale, escrow holder, employer, franchisee, joint venturer, or agent of either party. You may not represent that GizmoGrind owns a managed location, guarantees a purchase, or has authorized promises outside the workflow.
3. Managed locations and availability
- Keep each location's business name, contact details, address, hours, accepted categories, and availability accurate.
- Only receive referrals at approved locations and through authorized staff accounts.
- Promptly pause availability or contact support when the store cannot inspect, purchase, or pay for referred devices.
- Protect account credentials and notify GizmoGrind promptly of suspected unauthorized access.
4. Inspection, pricing, and seller choice
Inspect the device using the configured checklist and accurately record the model, variant, condition, identifiers, and any blocking issue. Do not reduce a price outside the configured verification flow, substitute a different device, or pressure the seller to accept. If the verified condition produces a revised quote, show it to the seller and obtain their recorded acceptance before proceeding. Decline devices you reasonably believe are stolen, counterfeit, unsafe, activation-locked, subject to an undisclosed claim, or unlawful to purchase, and follow applicable reporting and recordkeeping rules.
5. Direct seller payment and handoff
The managed location completing the referral is solely responsible for having sufficient funds and paying the seller the final agreed amount using the method recorded in the workflow. Record payment only after it has actually been made. Complete the handoff only after the seller accepts the final price and confirms receipt. Title passes directly from the seller to that location at the completed paid handoff. GizmoGrind does not fund, transmit, insure, or guarantee your payment to the seller.
6. Platform fee and off-session payment authorization
- Amount: the device referral's recorded rate within the 5% to 9% range, applied to the final trade-in price when the verified referral is completed, subject to any expressly agreed written adjustment.
- Timing and frequency: one unscheduled off-session charge per completed verified referral, normally initiated promptly after completion. Failed or indeterminate charges may be retried using the same referral record.
- Saved method: Stripe stores the payment details; GizmoGrind stores Stripe identifiers and the record of your authorization.
- Authorization: by separately checking the payment-authorization box, you authorize GizmoGrind to initiate those charges without requiring you to be in the checkout session.
- Withdrawal: replace the method in settings or contact support to withdraw authorization before receiving future referrals. Withdrawal does not cancel a fee already earned on a completed referral.
- Taxes: each party is responsible for taxes it is legally required to report, collect, or pay. GizmoGrind may add applicable tax to its fee where required.
7. Corrections, refunds, and payment disputes
Notify support@gizmogrind.com promptly if a referral was marked complete in error, the final price is recorded incorrectly, or a duplicate fee appears. Provide the referral identifier and supporting record. GizmoGrind will review documented fee errors and issue a correction or refund where appropriate. A seller dispute does not automatically reverse a correctly earned platform fee, but GizmoGrind may reasonably investigate, preserve records, pause referrals, or adjust the fee when the underlying completion record was false.
8. Compliance, seller treatment, and records
Follow all laws applicable to second-hand goods, consumer and commercial practices, privacy, identity and ownership checks, tax, accessibility, sanctions, anti-money-laundering, and stolen-property reporting. Treat sellers fairly, disclose the final price and payment method clearly, provide any receipt required by law, and retain your own legally required purchase records. Do not discriminate, misrepresent a quote, manipulate completion events, fabricate payment references, or use seller information for unrelated marketing.
9. Data and security
Use seller and device information only to evaluate, complete, protect, document, or lawfully report the referred purchase. Limit staff access, use appropriate safeguards, and delete information when no longer needed except where retention is required by law or an active dispute. Do not copy personal content from a seller's device. Each party is responsible for personal information under its control and for promptly reporting a security incident that could affect the other party or a seller.
10. Suspension and termination
Either party may end participation for future referrals. GizmoGrind may pause or terminate access for safety concerns, inaccurate listings, unpaid fees, repeated failed payments, suspected fraud, legal risk, security incidents, seller complaints, or breach of these terms. Ending access does not erase completed transaction records, accrued fees, confidentiality duties, data-protection duties, or dispute obligations.
11. Responsibility and platform availability
Each party is responsible for its own staff, systems, statements, negligence, fraud, wilful misconduct, and legal obligations. The partner account is responsible for its managed locations and authorized users. The location completing a referral is responsible for device inspection, lawful purchase, seller payment, title, resale, and post-handoff handling. GizmoGrind is responsible for operating its platform with reasonable care but does not guarantee uninterrupted availability or the truth of information supplied by a seller or store. Nothing excludes liability or statutory rights that cannot lawfully be excluded.
12. Terms records and changes
GizmoGrind records the accepting account owner, acceptance time, and version. That acceptance applies to every managed location then added to the account. You can retain or print this page. If these terms change materially, the account owner must accept the new version before any managed location receives new referrals. Earlier completed referrals remain associated with the version recorded for that activity. If part of these terms is unenforceable, the remaining parts continue to the extent permitted by law.
